UbiVac is currently seeking bridge funding from accredited investors. Accredited investors may purchase convertible notes that will convert into preferred stock upon the Company’s future completion of a preferred stock financing that meets specified criteria.
The Company will make its confidential business plan and a term sheet available to those who would like to know more about the offering.
Participation is limited to individuals with at least $1 million in net worth (excluding the value of the individual's primary residence) or more than $200,000 in annual income (more than $300,000 with their spouse) in the past two years, or who otherwise qualify as accredited. Venture funds or other entities who qualify as accredited investors may also participate.
Potential investors are required to provide documentation confirming accredited investor status. The Company will provide confirmed accredited investors with a Purchase Agreement and other investment documentation.
